Terms of Service

These terms cover the hosted Loquin service at loquin.io. They do not cover Loquin Core, which is open source under the MIT licence and governed by that licence alone.
Two separate things. Loquin Core is free open-source software you run yourself — take it, fork it, sell services around it, we ask nothing. Loquin hosted plans are a paid service we operate for you. Only the hosted service is subject to these terms.
1. Agreement
By creating an account or using the hosted service you agree to these terms. If you’re agreeing for a company, you confirm you’re authorised to bind it. We are Cenango, trading as Loquin.
2. What the service does
Loquin indexes content you direct us to and generates answers from it — in a chat widget, in browser voice, and on a telephone number. It is a tool for answering questions about published content. It is not a substitute for professional advice, and it should not be the sole channel for anything urgent, safety-critical, medical, legal or financial.
3. Your content and your responsibilities
You keep all rights to your content. You grant us only the licence needed to index, store, process and serve it back to your visitors while you use the service.
You are responsible for:
- Having the right to publish and index the content you point us at.
- Telling your visitors an automated assistant is in use, where the law requires it — including AI disclosure rules that apply in California, Utah and elsewhere.
- Getting any consent needed for call recording. Several US states require all-party consent.
- Reviewing what the assistant says about your business, particularly on pricing, availability and anything you could be held to.
- Not using the service for automated outbound calling or texting. Inbound only. Outbound is subject to the TCPA and equivalent laws and is expressly outside what we permit.
4. Acceptable use
Don’t use Loquin to break the law, harass anyone, impersonate a person or organisation you have no right to represent, index content you don’t have rights to, attempt to extract our models or prompts, resell the service except under an Agency plan, or deliberately overload the infrastructure. We may suspend an account that does, and for anything serious we’ll act first and explain afterwards.
5. AI output — read this one properly
Loquin retrieves from your content before it answers, and is instructed to say it doesn’t know rather than guess. That materially reduces wrong answers. It does not eliminate them. Language models can misread, mis-summarise, or state something that isn’t in the source.
We do not warrant that any given answer will be accurate, complete or suitable for a particular purpose. You are responsible for what your assistant tells your customers, exactly as you would be for a member of staff. Review your transcripts, especially early on, and constrain the topics the assistant handles if the stakes justify it.
6. Plans, minutes and billing
- Paid plans are billed annually in advance unless we’ve agreed otherwise in writing.
- Voice minutes are pooled across your account each month and do not roll over.
- Overage is charged at the published per-minute rate.
- We’ll give at least 30 days’ notice before any price change, and it takes effect at your next renewal — never mid-term.
- Fees are non-refundable except where the law says otherwise or where we have plainly failed to deliver the service.
- If payment fails we’ll tell you before we suspend anything.
7. Availability
We aim for high availability and we’ll tell you about planned maintenance. We don’t offer a contractual uptime guarantee on standard plans. Telephony depends on carriers we don’t control, and calls occasionally fail for reasons no software vendor can prevent. If you need a formal SLA, talk to us and we’ll quote for it honestly.
8. Cancellation
Cancel any time from the dashboard. Your service runs to the end of the paid term. Export your transcripts and delete your indexed content before you go — we remove account data within 30 days of termination, and once it’s gone we can’t get it back.
We may terminate for material breach of these terms, or with 30 days’ notice and a pro-rata refund if we discontinue the service.
9. Intellectual property
We own the hosted platform, the Loquin name and the brand. You own your content and your data. Loquin Core is MIT-licensed and nothing here restricts your rights under that licence — including your right to run it commercially without paying us.
If you send us feedback, we can use it to improve the product without owing you anything for it.
10. Liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data.
Our total liability for any claim is capped at the fees you paid us in the twelve months before the claim arose.
Nothing here limits liability for fraud, wilful misconduct, or anything that cannot lawfully be excluded. If you are a consumer, your statutory rights are unaffected.
11. Indemnity
You’ll cover us against third-party claims arising from your content, your use of the service in breach of these terms, or your failure to make a disclosure the law required you to make.
12. Changes
We’ll email account holders at least 30 days before any material change. Continuing to use the service after that means you accept the new terms. If you don’t, cancel and we’ll refund the unused portion of your term.
13. Governing law
These terms are governed by the laws of the State of Florida, United States, and both parties submit to the exclusive jurisdiction of its courts.
